What is a registered agent? For LLC purposes, a registered agent is also known as an “agent for service of process,” as they are called in California. This is an individual or business entity that accepts tax and legal documents on behalf of the business.

Your agent must be over the age of 18 and have a physical address (not a P.O. box) in California. The agent may be a member, manager, or officer of the LLC, but can also be unaffiliated with the company. The LLC can’t serve as its own registered agent.

3. File Your LLC Paperwork

Most states require you to file one document — the articles of organization (sometimes called a certificate of formation) — to officially start your LLC. File the Statement of Information

Once the state accepts your articles of organization, you officially have an LLC! California also requires an initial “Statement of Information” to be filed with the state within 90 days of your LLC becoming official. You will need to renew the initial Statement of Information every two years, so long as you continue to operate your business in California. This is a type of annual reporting called a “Biennial Report” and can be done using Form LLC-12. This form must include the following:

LLC stands for “limited liability company” and as the name suggests, is a business structure that protects business owners (called “members”) from liability for the activities of the business. This means members’ personal assets are not at risk if the business fails. LLCs are creations of state law, so the rules vary a bit from state to state.

The good news is there aren’t many cons to having an LLC in California. Besides California being a great place to live, an LLC is a relatively easy business structure to form and maintain. You’ll get the best of both worlds when it comes to taxation and formation.

LLC vs. Sole Proprietorship and Partnership. An LLC is, by default, taxed like a sole proprietorship (if the LLC has one member) or a partnership (if the LLC has more than one member). This means the LLC is considered a “pass through” entity — the business income “passes through” to the members, who pay personal income taxes. The business itself doesn’t pay taxes. However, LLCs require a bit of paperwork whereas partnerships and sole proprietorships can be formed informally simply by doing business.

LLC vs. Corporation. LLCs are much easier to form and maintain than corporations (known as C-corps). LLCs avoid the “double taxation” to which corporations are subjected. Corporations pay corporate income tax on business income and the members also pay income tax on their earnings from the business. An LLC can elect to be taxed as a C-corp if it wants by filing a form with the Internal Revenue Service (IRS).

An LLC can also elect to be taxed as an “S-corp,” a special tax status created by the IRS. S-corps enjoy pass-through taxation, like LLCs, but members are considered partial employees of the business. They must pay themselves a “reasonable salary” on which the business pays half of the employment taxes. The rest of the employment taxes come out of the employee’s salary. Any other profit which passes through to the members is taxed as personal income. This allows LLC members to pay less in self-employment taxes on pass-through profits.

For the period July 1, 2022 to June 30, 2023, California has no filing fees for LLC articles of organization. The subsequent statement of information costs $20 to file. You can spend as little or as much as you want to start your LLC, depending on whether you file on your own or hire an online LLC company or an attorney to help you.

The initial filing process takes about a week, not counting the time it takes to plan your LLC. The standard processing time is five business days to form a California LLC – but it may be faster. California allows you to track processing times online.
